1. Acceptance of Terms

By accessing or using SureVivr's website (surevivr.com) and services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.

These Terms constitute a legally binding agreement between you and SureVivr. We reserve the right to modify these terms at any time, and your continued use of our services constitutes acceptance of any changes.

2. Services Description

SureVivr provides the following services:

• Custom web development and software solutions
• Mobile application development
• AI and LLM integration services
• Cloud infrastructure and DevOps services
• Dedicated developer hiring and staffing solutions
• Technical consulting and advisory services

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

3. User Responsibilities

As a user of our services, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Not use our services for any illegal or unauthorized purpose
• Not transmit any viruses, malware, or malicious code
• Not attempt to gain unauthorized access to our systems
• Not interfere with or disrupt our services or servers
• Not reproduce, duplicate, copy, sell, or exploit any portion of our services

4. Intellectual Property

4.1 SureVivr's Intellectual Property

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, software, and code, are the exclusive property of SureVivr and are protected by international copyright, trademark, and other intellectual property laws.

4.2 Client Intellectual Property

Upon full payment for services, SureVivr grants the client ownership of custom-developed code, designs, and deliverables specifically created for the client's project, subject to the terms of the applicable service agreement.

4.3 Third-Party Components

Our services may incorporate open-source or third-party components. These components remain subject to their respective licenses, and we ensure compliance with all applicable license requirements.

5. Payment Terms

Payment terms for our services are as follows:

• Project-based services typically require a 50% advance payment
• Remaining payment is due upon project completion or milestone delivery
• Dedicated developer services are billed monthly in advance
• Hourly consulting services are billed upon completion with payment due within 15 days
• All prices are quoted in USD unless otherwise agreed

Late payments may incur interest at 1.5% per month or the maximum rate permitted by law. SureVivr reserves the right to suspend services for non-payment.

6. Project Deliverables and Acceptance

Project deliverables and acceptance procedures:

• Deliverables are provided in accordance with the project scope and specifications
• Client has 7 business days to review deliverables and request revisions
• Reasonable revisions are included as per the service agreement
• Additional revisions beyond the agreed scope may incur additional charges
• Final acceptance is confirmed upon client sign-off or after the review period expires

7. Limitation of Liability

To the fullest extent permitted by law:

• SureVivr shall not be liable for any indirect, incidental, special, or consequential damages
• Our total liability is limited to the amount paid for the specific service giving rise to the claim
• We are not liable for any data loss, business interruption, or loss of profits
• We make no warranties regarding uninterrupted or error-free operation of our services

8. Confidentiality

Both parties agree to maintain the confidentiality of:

• Proprietary information, trade secrets, and business strategies
• Technical specifications, code, and development methodologies
• Customer lists, pricing information, and financial data
• Any information marked as confidential or that would reasonably be considered confidential

Confidentiality obligations survive the termination of any service agreement.

9. Termination

Either party may terminate services under the following conditions:

• With 30 days written notice for dedicated developer services
• Immediately for material breach of these terms
• Upon mutual written agreement of both parties

Upon termination, the client will pay for all services rendered and expenses incurred. SureVivr will deliver all completed work subject to payment obligations.

10. Warranty Disclaimer

Except as expressly stated in a written service agreement:

• Services are provided "as is" without warranties of any kind
• We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
• We do not warrant that our services will meet your requirements or be uninterrupted
• We do not warrant that errors will be corrected or that our services are free of viruses

11. Indemnification

You agree to indemnify and hold SureVivr harmless from any claims, damages, losses, liabilities, and expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you provide or submit through our services

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be resolved through:

• Good faith negotiation between the parties
• If negotiation fails, mediation in India
• If mediation fails, binding arbitration in India

The courts of India shall have exclusive jurisdiction over any matters arising from these Terms.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the new Terms.
